What is Microsoft an Enterprise Agreement?
Microsoft Enterprise Agreement is a comprehensive Microsoft Volume Licensing program designed for enterprise organizations with 250 or more desktop PCs that want to standardize on the latest Microsoft technology.
With the Enterprise Agreement program, you can offer your company substantial cost savings over standard license pricing, based on a three-year agreement term. Enterprise Agreement offers simplified license and budget tracking with a single agreement for more control over their IT investment. It also supports better management of software costs through the advantages of Microsoft Software Assurance for Volume Licensing, which is automatically included.
The Enterprise Agreement program is available to qualifying commercial and government (Enterprise Agreement for Government) organizations. Eligibility definitions vary by region. Check with your regional Microsoft subsidiary if you have questions.
License Type The Enterprise Agreement program offers perpetual licenses, which are everlasting and valid if the licensed products are being used in accordance with the license-agreement requirements. Enterprise Agreement program customers own their licenses and have perpetual use of the licensed products under their agreements as of the time the licenses are acquired.
Products Included Under the Enterprise Agreement program, customers can acquire one of two defined software platforms or their individual platform components:
- Microsoft Professional Desktop Platform Products
Includes a Microsoft Office Professional Plus 2007 license (includes licenses for Microsoft Office Access 2007, Microsoft Office Communicator 2007, Microsoft Office Excel 2007, Microsoft Office InfoPath 2007, Microsoft Office Outlook 2007, Microsoft Office PowerPoint 2007, Microsoft Office Publisher 2007, Microsoft Office Word 2007, Advanced Information Rights Management and Policy Capabilities, Integrated Electronic Forms, and Integrated Enterprise Content Management), a Windows Vista Business operating system upgrade license (with upgrade rights to Windows Vista Enterprise), and the Microsoft Core Client Access License (CAL) Suite (includes a Windows Server 2008 operating system CAL, a Microsoft Exchange Server 2007 Standard CAL, a Microsoft Office SharePoint Server 2007 Standard CAL, and a Microsoft System Center Configuration Manager 2007 configuration management license). - Microsoft Enterprise Desktop Platform Products

Customers must standardize desktop platform products on all desktop PCs across their organizations and must order licenses for all qualified devices that can run any of the chosen desktop platform products. The only devices that customers need not order licenses for are PCs that are used as servers; devices that contain an embedded operating system, such as thin clients and Pocket PCs; and devices that are used only for line-of-business applications, like a hotel management system.
All customers can acquire additional non-desktop platform products as specified in their license agreements.
Software Maintenance Options Microsoft Software Assurance for Volume Licensing is a comprehensive maintenance offering that helps customers get the most out of their technology investments. It combines the latest software with phone support available 24 hours a day, consulting services, training, and IT tools that help customers deploy, manage, and migrate software. Software Assurance benefits vary with each Volume Licensing program. In addition, server licenses include benefits that are different from those for desktop licenses. Software Assurance is included for every license acquired through the Enterprise Agreement program at the time of license acquisition (license and Software Assurance pack) and can be used immediately throughout the term of the license agreement.
Software Assurance benefits for the Enterprise Agreement program include New Version Rights, Spread Payments, Desktop Deployment Planning Services, SharePoint Deployment Planning Services, Exchange Deployment Planning Services, Business Value Planning Services, Windows Vista Enterprise, optional Microsoft Desktop Optimization Pack for Software Assurance add-on subscription, Training Vouchers, Microsoft E-Learning, Employee Purchase Program, Home Use Program, Enterprise Source Licensing Program (for customers with 1,500 or more desktop PCs), 24×7 Problem-Resolution Support, Cold Backups for Disaster Recovery, TechNet Subscriptions Through Software Assurance, Windows Fundamentals for Legacy PCs, and Extended Hotfix Support.

- Software Assurance renewals (prorated to the prior anniversary).
- Software Assurance acquired on its own within 90 days of retail full-packaged product or original equipment manufacturer (OEM) acquisitions of system or server software product licenses or OEM acquisitions of Microsoft Office 2003 or newer version licenses.
Pricing
The total quantity of qualified desktop PCs when you enroll in the Enterprise Agreement program determines your price level for licensed products under the corresponding product pool:
- Level A: 250-2,399 desktop PCs
- Level B: 2,400-5,999 desktop PCs
- Level C: 6,000-14,999 desktop PCs
- Level D: 15,000 or more desktop PCs
Licensing Fulfillment One media kit is shipped at no charge with the initial Enterprise Agreement program order of the licensed products in the language your choice. Subsequent orders of the same product will not include a media kit. Microsoft will automatically ship media kits to you for new versions of their licensed products. If you wish to acquire additional media, or would like media for software products not in the initial order, you can download licensed products for no additional charge at the Microsoft Volume Licensing Service Center (VLSC) or acquire media separately, for a fee, in selected markets.
Payment Options The Enterprise Agreement program offers three payment options:
- Pay the full amount at the time of order.
- Spread payments across agreement anniversaries (pay one-third at the time of order and one-third on each of the next two agreement anniversaries) for license and Software Assurance packs or Software Assurance only.
- Take advantage of monthly, quarterly, semi-annual, or customized payment options that are available through Extended Payment Terms to credit-qualified, direct, commercial Enterprise Agreement customers in Canada, France, Germany, Italy, Switzerland, the United Kingdom, and the United States. Extended Payment Terms are flexible payment solutions that go beyond the standard anniversary or up-front payments to help align costs to cash flow and budgetary needs, and offer the option to spread subsequent acquisitions over the remaining enrollment period.
Agreement Term The Enterprise Agreement program offers a three-year license agreement term that begins with each new initial order.
Initial order Customers must acquire a minimum of 250 license and Software Assurance packs for the Professional Desktop Platform, Enterprise Desktop Platform, or one of the desktop platform products for all qualifying desktop PCs in their organizations. Customers who acquire the complete Professional Desktop Platform or Enterprise Desktop Platform have a single license per desktop PC instead of individual licenses for the Windows operating system, the Microsoft Office system, and server CALs.
Additional orders New additional products may be run if a license and Software Assurance pack order is placed in the month the product is first run. For additional copies run after the first order, you order license and Software Assurance packs in the month those copies are first run. At each enrollment anniversary you then calculate the then-current number of qualified desktop PCs and qualified users covered by the enrollment.
Order and License Tracking When the accepted agreement and the initial purchase order are received, Microsoft will publish an order confirmation, including the authorization number and license number, to the password-protected VLSC within 24 hours, reflecting the updated license status. You may track and monitor licenses easily and conveniently and download and install licensed software through the VLSC. Upon acceptance of the agreement, the customer contact identified on the enrollment will be provided access to the VLSC, where he or she can find any required volume license keys, SKUs, product descriptions, and quantities for the products ordered. Customers need an authorization number, a license number, and a Microsoft Live ID or Passport ID to access the VLSC.
Agreement Renewal Options At the end of the three-year agreement, Enterprise Agreement program customers have the option to extend their agreements for another year or three years. Or customers can reinstate their Software Assurance benefits by starting a new agreement for the Enterprise Agreement program for Software Assurance only within 30 days of the expiration of the agreement.
